STATEMENT ON GOVERNANCE AND TRUSTEE RESPONSIBILITIES

The Board of Trustees is the governing body for the College. The Board advances the mission and goals of the College, provides institutional oversight, works to ensure that the College has adequate resources, and appoints and evaluates the President. The Board holds final institutional authority to grant all degrees and tenure awarded by the College, upon the recommendation of the Faculty and President. The Board entrusts to the President the authority and responsibility for the College’s educational and operational affairs.

The Trustees, individually and as a Board, have the responsibility to understand the current needs of the College, and to plan for the College’s future.

The Board meets three (3) times per year, in person. In addition, the Board operates through its standing Committees. Trustees are expected to participate diligently and fully in these activities.

The Board of Trustees

  1. Advances the mission and goals of the College;
  2. Provides fiduciary oversight to ensure the College is prudently managed and has adequate resources;
  3. Appoints, evaluates and determines compensation for the President;
  4. Works in a shared governance setting to develop and monitor institutional strategies;
  5. Works to ensure that the Board of Trustees has the requisite skills and experience to support the mission of the College;
  6. Ensures that individual Trustees fulfill their responsibilities and commitments to the Board and the College.

Each Trustee Will:

  1. Act in the overall best interests of the College;
  2. Make service to the College a personal priority;
  3. Participate actively and constructively in the work of the Board and its Committees;
  4. Accept and carry out leadership assignments;
  5. Prepare for Board and Committee meetings by reviewing materials provided before each meeting;
  6. Stay informed about issues specific to the College and higher education in general;
  7. Act independently as a Trustee using your best judgment and all information available;
  8. Participate in Trustee self-evaluations and in Board evaluations;
  9. Meet attendance expectations for Committee and Board meetings;
  10. Support the College financially, including contributing to the Annual Fund and periodic Capital Campaigns, within each Trustee’s means, at a level that demonstrates high personal commitment;
  11. Maintain the confidentiality of the Board and its Committees;
  12. Speak for the Board or College under extenuating circumstances and only when authorized by the Board Chair;
  13. Refrain from directing the President or staff. The President reports to the Board as a whole and the staff to the President. Individual members may provide advice and counsel to the President. Only the Board as a whole (usually through the Board Chair) provides specific instruction.
  14. Avoid conflicts of interest or the appearance of conflicts of interest in accordance with the College’s Conflict of Interest Policy;
  15. Assist in recommending and recruiting board members.
  16. Adhere to the highest level of personal and professional conduct;

The Board of Trustees has adopted this Statement of Governance and Trustee Responsibilities in an effort to communicate clearly the expectations for Trustees and to provide Trustees a resource to evaluate their own contribution to the Board and the College.
